These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and SwingWise ("SwingWise," "we," "us," or "our"), governing your access to and use of the SwingWise mobile application, website, services, and related offerings available through and any associated products or content (collectively, the "Services").

By downloading, installing, accessing, creating an account, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must discontinue use of the Services immediately.

SwingWise is a golf strategy and AI-powered caddie platform intended to help golfers improve course management and decision-making through data-driven guidance and educational content.

The Services may include:

• AI-powered club and shot recommendations
• Course strategy guidance
• Statistical analysis and Strokes Gained insights
• Proprietary scoring and strategy frameworks
• Performance analytics
• Educational content
• Newsletters
• Video content
• Digital yardage-book functionality
• GPS and geospatial course tools
• Experimental or beta features

SwingWise may modify, update, suspend, remove, or discontinue portions of the Services at any time without liability or prior notice.

You must be at least 13 years old to use the Services.

If you are under 18 years of age, you represent that you have permission from a parent or legal guardian.

By using the Services, you represent and warrant that:

• You meet these eligibility requirements
• Information you provide is accurate
• You have authority to enter these Terms

Certain Services require account registration.

You agree to provide accurate, current, and complete information and keep your information updated.

You are solely responsible for:

• safeguarding login credentials
• all activity occurring under your account
• maintaining account security

You agree to notify SwingWise immediately at kzinkand@swingwise.ai if unauthorized use is suspected.

SwingWise reserves the right to suspend or terminate accounts at its sole discretion.

All content, features, software, interfaces, frameworks, visual designs, text, graphics, logos, AI-generated content, videos, databases, educational materials, and proprietary systems within the Services are owned by SwingWise and protected under applicable intellectual property laws.

Protected materials include but are not limited to:

• MAPS-C
• FIP
• GIP
• GAWI
• Statistical Calm
• Golf Theory Optimal
• The Strategic Edge
• In Position
• Odds-Based Decision Making
• Connor
• SwingWise logos and marks

You receive a limited, revocable, non-exclusive, non-transferable license for personal, non-commercial use only.

You may not:

• copy
• distribute
• modify
• scrape
• reverse engineer
• create derivative works
• commercially exploit Services

without prior written permission.

You agree not to:

• violate laws or regulations
• interfere with Service operation
• scrape data
• reverse engineer software
• impersonate users or SwingWise personnel
• distribute malware
• overload systems
• sublicense or resell access
• misuse AI outputs

SwingWise provides educational and strategic guidance only.

Recommendations generated through artificial intelligence, analytics, geospatial systems, and statistical models may contain errors, omissions, inaccuracies, or incomplete conclusions.

SwingWise does not guarantee:

• score improvement
• handicap reduction
• performance outcomes
• shot execution
• scoring results
• competitive success

All decisions remain solely your responsibility.

You acknowledge that golf involves inherent risks including:

• bodily injury
• property damage
• errant golf shots
• environmental hazards
• course conditions
• interactions with other participants

You voluntarily assume all risks associated with golf activities and use of the Services.

SwingWise is a decision-support platform and not a replacement for independent judgment.

You are solely responsible for ensuring compliance with:

• local rules
• tournament rules
• conditions of competition
• USGA regulations
• R&A regulations
• AJGA rules
• NCAA rules
• event-specific restrictions

SwingWise assumes no responsibility for penalties, disqualifications, or rule violations resulting from Service use.

The Services rely on:

• GPS
• device hardware
• geolocation services
• course mapping systems
• weather systems
• external APIs
• third-party data providers
• including course and mapping databases.

Such systems may contain delays, inaccuracies, omissions, interruptions, or incomplete information.

Distance calculations, hazards, layouts, recommendations, and environmental information may not always be accurate.

You acknowledge such information should not be solely relied upon.

SwingWise is not responsible for errors originating from third-party systems or providers.

Certain Services may collect precise geolocation data necessary for functionality.

Use of such information is governed by our Privacy Policy.

SwingWise may provide experimental, preview, early-access, or beta functionality.

Such features are provided strictly "AS IS" and may:

• contain bugs
• change functionality
• produce inaccurate results
• be removed without notice

Use of beta functionality is entirely at your own risk.

Certain Services require paid subscriptions.

By subscribing, you authorize recurring charges to your selected payment method.

Subscriptions automatically renew unless cancelled at least 24 hours before the billing cycle ends.

Subscription processing through the Apple App Store or Google Play may also be governed by platform billing policies.

Fees are non-refundable except:

• where required by law
• as stated in refund policies

SwingWise reserves the right to change pricing with reasonable notice.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

SWINGWISE DISCLAIMS ALL WARRANTIES INCLUDING:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• ACCURACY
• RELIABILITY
• NON-INFRINGEMENT

SwingWise does not guarantee:

• uninterrupted operation
• error-free operation
• complete accuracy
• availability
• virus-free functionality

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SWINGWISE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, PARTNERS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

THIS INCLUDES:

• LOST PROFITS
• LOST DATA
• LOSS OF BUSINESS
• PERSONAL INJURY
• PROPERTY DAMAGE
• TOURNAMENT PENALTIES
• GOLF-RELATED INCIDENTS

ARISING FROM USE OF THE SERVICES.

SWINGWISE'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF:

(A) fees paid during the twelve months preceding the claim

OR

(B) $100 USD

You agree to defend, indemnify, and hold harmless SwingWise and its officers, employees, affiliates, licensors, contractors, and service providers against any claims, liabilities, damages, judgments, losses, expenses, and attorney fees arising from:

• use of Services
• misuse of recommendations
• violation of these Terms
• tournament violations
• unlawful conduct
• third-party claims arising from your activities

SwingWise may suspend or terminate Services at any time with or without notice.

Termination does not eliminate obligations incurred before termination.

Sections relating to:

• intellectual property
• liability
• indemnification
• arbitration
• dispute resolution

survive termination.

These Terms shall be governed by the laws of the State of Georgia without regard to conflict of law provisions.

Disputes shall be resolved through binding arbitration administered by the American Arbitration Association.

Arbitration shall occur in Atlanta, Georgia.

Both parties waive rights to:

• jury trial
• class actions
• class-wide arbitration

Either party may seek equitable or injunctive relief in courts located within Georgia.

SwingWise shall not be liable for failures or delays caused by events beyond reasonable control including:

• natural disasters
• acts of God
• telecommunications failures
• cyberattacks
• internet outages
• labor disputes
• government actions
• third-party service interruptions

If any provision of these Terms is determined unenforceable, remaining provisions remain in full force.

Failure to enforce any provision shall not constitute waiver of future enforcement rights.

SwingWise may assign or transfer these Terms without restriction in connection with acquisition, financing, merger, restructuring, or sale of assets.

Users may not assign rights without written consent.

Your use of Services is also governed by our Privacy Policy incorporated by reference.

By using the Services, you consent to information practices described in that policy.
